The election of the Board of Directors will take place during the General Meeting of Shareholders of Hapimag AG on April 28.04.2019, XNUMX.
For the shameful VR Dr. iur. Stefan Schalch, the Board of Directors has appointed Mrs. Dr. Christine Hehli Hidber, attorney at the law firm Binder Rechtsanwälte KLG, was proposed as a candidate, whom we do not yet know. We will try to contact the candidate in order to support you in your election to the Board of Directors if necessary.
In addition, the previous Board of Directors Kurt Scholl is running again.
Mr. Scholl was CEO of Hapimag AG from 2003 to 2013 and has been a member of the Board of Directors since then.
Before that he was a consultant at KPMG, an auditing and consulting company. In this capacity, he audited Hapimag AG and developed a future scenario on their behalf, which he implemented as CEO from 2003 - after moving to Hapimag.
He is largely responsible for the fact that less and less information has been provided in the annual reports and that a disguise tactic has been used against the shareholders.
In the 16 years he has been with Hapimag, our AG has lost more than 125 million euros in equity and the capital reserves have shrunk by around 300 million CHF.
The special audit decided at the 2018 AGM - against the recommendation of the then board of directors - will mainly examine the period in which Mr. Scholl was responsible.
In our opinion, Mr. Scholl is largely responsible for the current imbalance of Hapimag AG. Because of this, we do not consider him suitable to rejoin the Board of Directors.
That is why the HFA is proposing its own candidate for the position that Mr. Scholl has previously held.
Our candidate is the long-time deputy chairman Rudolf Andermann. He has had hundreds of discussions with shareholders and has thereby gained a very good overview of their concerns, needs and positive evaluations. He can thus bring diverse practical experience to the board of directors.
As a member of the Board of Directors, his intention is to do everything in his power to achieve the shareholders' key goals - collected by the HFA - to maintain the Hapimag idea of "investing together - using together".
A short CV of Mr.n Andermann can be found here: CV Andermann (PDF)
The Board of Directors rejects his election for reasons of age. President Fontana is also standing for re-election, although he will also be leaving next year for reasons of age. We see it as necessary to have a representative of the HFA on the board of directors. We will therefore present a younger member as an upcoming candidate in good time.
We ask you to support this choice either by personal vote or a proxy to the HFA.
